Cloud Access Key – End User License Agreement (EULA)

This End User License Agreement ("Agreement") is a legal agreement between you ("User," "you," or "your") and Cloud Access Key, a Utah company ("Cloud Access Key," "we," "our," or "us").
This Agreement governs your use of the Cloud Access Key mobile and web applications, firmware, and related software components, whether installed on a device, computer, or used via the cloud (collectively, the "Software").
By downloading, installing, accessing, or using the Software, you agree to be bound by this Agreement. If you do not agree, do not install, access, or use the Software.
1. License Grant
Cloud Access Key grants you a limited, non-exclusive, non-transferable, revocable license to use the Software solely for its intended purpose — managing and interacting with Cloud Access Key–compatible access control systems that are licensed, installed, or authorized for your use.
This license does not grant you ownership rights to the Software or any portion thereof.
2. Restrictions
You may not:
- Modify, translate, adapt, reverse engineer, decompile, or disassemble the Software except where explicitly permitted by applicable law.
- Copy, distribute, or publicly display any part of the Software without our prior written consent.
- Use the Software for the purpose of developing competing products or services.
- Circumvent or disable any security, licensing, or access controls.
- Rent, lease, sublicense, sell, assign, or otherwise transfer your rights to the Software.
- Interfere with or disrupt our cloud services, networks, or connected devices.
3. Ownership and Intellectual Property
The Software, related firmware, documentation, trademarks, trade names, service marks, and any updates or derivative works are the exclusive property of Cloud Access Key and its licensors.
This Agreement does not convey any ownership interest or title. All rights not expressly granted are reserved.
Any feedback, suggestions, or ideas you submit regarding the Software become our property and may be used without restriction or obligation.
4. Connectivity and System Integration
The Software may connect to Cloud Access Key's cloud services, servers, and compatible controller hardware. By using the Software, you acknowledge and consent to communication between the Software, our cloud infrastructure, and local access control devices for normal operation.
You are responsible for maintaining an active internet connection and ensuring that connected devices comply with our specifications and requirements.
5. Updates and Firmware
Cloud Access Key may provide automatic or manual updates, patches, or firmware upgrades to improve system performance or security. You agree to install such updates as required for continued system operation. Continued use after an update constitutes acceptance of the updated Software.
6. Data and Privacy
The Software may collect limited operational data, including access events, device identifiers, error logs, and configuration information necessary for proper functionality.
We do not sell or share personally identifiable data except as required to operate, maintain, or improve the system.
Our Privacy Policy explains how we collect, use, and protect your information and is incorporated into this Agreement by reference.
7. Security and Access Control Responsibility
Cloud Access Key provides the tools and infrastructure for secure access management, but you are responsible for maintaining proper administrative settings, credentials, and user permissions within your system.
We are not responsible for access misuse, unauthorized entry, or configuration errors caused by users, installers, or third parties.
8. Termination
This Agreement remains in effect until terminated by you or Cloud Access Key.
We may terminate this Agreement immediately if you breach any term or if continued use poses a security or operational risk. Upon termination, you must cease all use of the Software and destroy all copies in your possession.
9. Disclaimers
The Software and related services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, performance, or non-infringement.
We do not warrant that the Software will be uninterrupted, error-free, or compatible with all devices or network environments.
10. Limitation of Liability
To the fullest extent permitted by law, Cloud Access Key and its affiliates shall not be liable for any indirect, incidental, consequential, or punitive damages, including but not limited to loss of data, profits, or business interruption, even if advised of the possibility of such damages.
Our total cumulative liability under this Agreement shall not exceed the total amount paid (if any) for the Software or one hundred dollars ($100), whichever is less.
11. Indemnification
You agree to indemnify, defend, and hold harmless Cloud Access Key, its officers, employees, affiliates, dealers, and licensors from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from:
- Your use or misuse of the Software;
- Any violation of this Agreement;
- Unauthorized access, configuration, or sharing of the system; or
- Your violation of applicable laws or third-party rights.
12. Trademarks and Branding
All Cloud Access Key trademarks, logos, and branding may not be used in any manner without our prior written consent. You may not remove or obscure any proprietary notices or logos within the Software or related materials.
13. Export and Compliance
You agree to comply with all U.S. and international export laws and regulations. The Software may not be exported or re-exported to embargoed countries or restricted entities.
14. U.S. Government Users
The Software is provided with "RESTRICTED RIGHTS." Use, duplication, or disclosure by the U.S. Government is subject to the restrictions set forth in FAR 52.227-19 or DFARS 252.227-7013, as applicable.
15. Governing Law
This Agreement is governed by and construed under the laws of the State of Utah, without regard to conflict of law principles.
Any disputes shall be brought exclusively in the state or federal courts located in Utah County, Utah.
16. Entire Agreement
This Agreement constitutes the entire agreement between you and Cloud Access Key regarding the Software and supersedes all prior understandings, whether oral or written.
Dealers, installers, or resellers are subject to separate written agreements that govern their relationship with Cloud Access Key.
17. Support
Cloud Access Key does not provide direct support to end users. All installation, configuration, and technical support for the system must be handled by your authorized Cloud Access Key Dealer.
If you are an end user and require assistance, please contact your dealer directly.
If you are a dealer, your support relationship with Cloud Access Key is governed under your separate Dealer Agreement.
18. System Use, Safety, and Assumption of Risk
You understand and agree that access control systems, including electronic locks, readers, and controllers, are not infallible and may fail due to power loss, network outages, configuration errors, or hardware malfunction.
Cloud Access Key is not responsible for:
- Any property damage, personal injury, or loss caused by system malfunction, misconfiguration, or misuse.
- Situations where doors fail to unlock or lock as intended, including during emergencies.
- Environmental or installation factors that impact device performance.
By using the Software, you assume all risks associated with physical access control, security decisions, and system operation. You agree that Cloud Access Key provides only the enabling technology and is not responsible for on-site implementation or end-user system behavior.
